Terms and Conditions
Below are the terms and conditions for use of our services. Please read them carefully. By using our services, you agree to these terms.

1. Introduction
These Terms and Conditions ("Terms") govern your use of the eLearning Translator app ("the App") operated by Skillsail GmbH ("we," "us," or "our"). By using the App, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the App.
The App is intended exclusively for businesses, organizations, and persons acting in the exercise of their trade, business, or profession. We do not offer the App to consumers, and by using the App you confirm that you are acting on behalf of a business or other organization or within your independent professional activity.
2. App Description
The App enables you to upload, translate, manage, and download XLIFF files, including files created with Articulate Rise 360 and Articulate Storyline, together with related glossary and project data.
3. User Accounts
3.1 To use the App, you must create a user account and purchase character credits before translating files.
3.2 You are responsible for providing accurate account information and for maintaining the confidentiality of your login credentials or access methods. If you create or use an account for an organization, you confirm that you are authorized to do so.
3.3 You are not allowed to create duplicate accounts, use disposable or temporary email addresses, or otherwise abuse account access.
3.4 If you choose to delete your account, unused credits may be invalidated unless otherwise required by applicable law.
3.5 We may suspend or remove accounts and associated data without prior notice where we reasonably suspect abuse, fraud, security misuse, or violations of these Terms. Where we are required by law to retain certain information, we may keep only the data necessary for that legal purpose.
4. Character Credits and Payments
4.1 One character credit represents one character sent to the translation API.
4.2 Credits are automatically counted and deducted from your account when you upload a file and start the translation process.
4.3 You can purchase additional credit packages either through the App's integrated checkout flow or directly from Skillsail GmbH outside the integrated checkout.
4.4 If you purchase credits through the App's integrated checkout, the payment is processed through Stripe Managed Payments. In that flow, Stripe acts as merchant of record on our behalf, and Link by Stripe may appear as the customer-facing seller or merchant of record at checkout and on receipts.
4.5 For integrated checkout purchases, payment collection, indirect tax handling, receipts, invoices, and transaction-level support are handled by Stripe Managed Payments and Link by Stripe. By completing such a purchase, you understand and agree that the payment contract for that transaction is with Stripe or Link by Stripe as presented at checkout, while Skillsail GmbH remains the provider of the App and the purchased credits.
4.6 If you purchase directly from Skillsail GmbH outside the integrated checkout, the payment contract is with Skillsail GmbH and is governed by these Terms and applicable law.
4.7 Unless expressly stated otherwise, prices displayed on the website or in the App are net prices for business customers and exclude VAT and other applicable indirect taxes. For integrated checkout purchases, Stripe Managed Payments or Link by Stripe may calculate and add applicable VAT or similar taxes at checkout, on invoices, or on receipts where required.
4.8 Available credits are valid for 12 months from the date of acquisition unless otherwise stated at the time of purchase.
5. Fair Use and Prohibited Content
5.1 You agree to use the App fairly and not exploit it in any way.
5.2 We reserve the right to suspend or terminate your account if we reasonably believe you are using the App in a way that violates these Terms or our fair use expectations.
5.3 You may not use the App to distribute malware, attempt unauthorized access, scrape or harvest data at scale, interfere with the security or availability of the App, or bypass access controls, usage restrictions, or technical limits.
5.4 Prohibited Content: You may not upload or translate files that contain:
- Hate speech, discrimination, or threats
- Harassment, bullying, or defamation
- Sexually explicit or pornographic content
- Violence, self-harm, or abusive material
- Any illegal or unlawful content
5.5 The restrictions above are not intended to prohibit legitimate and lawful business uses, such as compliance, safeguarding, moderation, accessibility, or training review, where the material is necessary for that purpose and your use of the App otherwise complies with these Terms and applicable law.
6. Customer Content and Intellectual Property
6.1 You retain ownership of the files and other content you upload to the App, as well as the translated files generated through the App.
6.2 You represent and warrant that you have the necessary rights, permissions, and legal basis to upload, process, and translate the content you submit through the App.
6.3 You grant us a limited, non-exclusive right to host, store, reproduce, transmit, and process your content solely to provide the services requested by you, operate and secure the App, troubleshoot issues, provide support requested by you, and comply with law.
6.4 We do not use customer content to train general-purpose AI or machine-learning models or to improve the App by default. We will access or use customer content for troubleshooting, support, or other service improvements only where you request it or where we separately agree in writing.
6.5 You can request account deletion by emailing hello@skillsail.com.
7. Data Privacy and Third-Party Services
7.1 We process personal data and customer content as described in our Privacy Policy.
7.2 We use our own systems and selected third-party providers to deliver the App, including infrastructure, authentication, storage, email, scheduling, monitoring, payment, tax, transaction support, and translation services.
7.3 For customer files and other customer content containing personal data that we process on behalf of a business customer, the relevant customer remains responsible as controller and we act as processor or service provider unless otherwise agreed. We can provide a separate data processing agreement on request or as part of a commercial agreement.
7.4 By using the App, you acknowledge that service delivery depends on third-party providers and that data may be processed in the European Union and, where necessary, outside the European Union subject to appropriate safeguards as described in our Privacy Policy.
7.5 We do not sell your uploaded files. We may access or process content where reasonably necessary to operate the App, investigate issues, comply with law, enforce these Terms, or provide support requested by you.
8. Service Availability and Translation Output
8.1 We do not guarantee uninterrupted, timely, secure, or error-free access to the App and reserve the right to modify, suspend, or discontinue services or features at any time.
8.2 Translation output is generated with the help of third-party translation and AI providers and may require human review. You remain responsible for reviewing and approving translated content before using it in production, publication, or training materials.
9. Limitation of Liability
9.1 To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profit, revenue, business, goodwill, or data arising out of or in connection with your use of the App.
9.2 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
10. Governing Law and Disputes
These Terms are governed by the laws of Germany, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods, to the extent permitted by law. Any disputes arising from these Terms shall be resolved in the competent courts of Munich, Germany, unless mandatory law provides otherwise.
11. Modifications to the Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Effective Date" at the top of the Terms. Continued use of the App after such changes take effect constitutes acceptance of the updated Terms.
